Welcome to LOXIOM! The terms “we”, “us” and “our” refer to LOXIOM FZE. LOXIOM operates this store and website, including all related information, content, features, tools, digital products, and services in order to provide you, the business client, with a curated B2B digital commerce experience (the “Services”). LOXIOM is powered by Shopify, which enables us to provide the Services to you.
The below terms and conditions, together with any policies referenced herein (these “Terms of Service” or “Terms”) describe your rights and responsibilities when you use the Services. Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as intellectual property, warranty disclaimers, and limitations of liability.
By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services.
SECTION 1 - ACCESS AND ACCOUNT
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence. To use the Services, including purchasing any of the digital products or DFY services we offer, you may be asked to provide certain information, such as your email address, corporate billing, payment, and business details. You represent and warrant that all the information you provide is correct, current, and complete. You are solely responsible for maintaining the security of your account credentials. You may not transfer, sell, assign, or license your account to any other person.
SECTION 2 - OUR PRODUCTS & SERVICES
We have made every effort to provide an accurate representation of our digital products (e.g., templates, toolkits, Notion workspaces) and Done-For-You (DFY) services. However, please note that interface colors or rendering may differ on your screen. All descriptions of digital products and marketing services are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product or service at any time and may limit the quantities or scope of services offered to any person, geographic region, or jurisdiction.
SECTION 3 - ORDERS & B2B USAGE
When you place an order, you are making an offer to purchase. LOXIOM reserves the right to accept or decline your order for any reason at its discretion. We must receive and process your payment before your order is accepted. Your purchases are subject to return or cancellation solely in accordance with our strict Refund & Cancellation Policy.
B2B Commercial Use Restriction: You represent and warrant that your purchases are for your own internal business operations. You are strictly prohibited from reselling, redistributing, sub-licensing, or exporting the raw digital assets, templates, toolkits, or systems provided by LOXIOM FZE to any third parties.
SECTION 4 - PRICES AND BILLING
Prices, discounts, and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed. Unless otherwise expressly stated, posted prices do not include applicable taxes (e.g., UAE VAT).
You agree to provide current, complete, and accurate purchase and corporate billing information for all transactions made at our store. You represent and warrant that (i) the credit card information you provide is true, correct, and complete, (ii) you are duly authorized to use such credit card for the corporate purchase, and (iii) you will pay all charges incurred by you at the posted prices, including all applicable taxes.
SECTION 5 - DIGITAL DELIVERY
As LOXIOM FZE operates a 100% digital commerce model, there is no physical shipping. All digital products are delivered instantly via secure download links or email access upon payment clearance. We are not liable for access delays caused by third-party platform downtimes (e.g., Canva, Notion, email service providers), or events outside our control. For DFY services, execution and handover timelines will be strictly governed by the approved Statement of Work (SOW).
SECTION 6 - INTELLECTUAL PROPERTY & TEMPLATE LICENSING
Our Services, including all templates, toolkits, PDFs, text, design, and operating systems, are owned by LOXIOM FZE and are protected by intellectual property laws.
These Terms permit you to use the purchased digital assets for your internal business use only (Single-User Commercial License). You must not reproduce, distribute, modify to resell, create derivative works for resale, publicly display, republish, or transmit any of our templates or digital toolkits to third parties. Nothing in these Terms grants a license to claim ownership of LOXIOM’s intellectual property. Unauthorized distribution or resale of our digital assets is a direct violation of international copyright laws and will result in immediate legal action.
SECTION 7 - OPTIONAL TOOLS
You may be provided with access to third-party tools (e.g., Canva, Notion, Shopify) as part of the Services. We provide access to such tools “as is” and have no liability whatsoever arising from or relating to your use of optional third-party tools.
SECTION 8 - THIRD-PARTY LINKS
The Services may contain materials and hyperlinks to third-party websites. We are not liable for any harm or damages related to your access to third-party websites, or your purchase or use of any products, services, or content on those sites.
SECTION 9 - RELATIONSHIP WITH SHOPIFY
LOXIOM is powered by Shopify, which enables us to provide the Services to you. Any sales and purchases you make are directly with LOXIOM FZE. You expressly release Shopify from all claims, damages, and liabilities arising from or related to your transactions with LOXIOM.
SECTION 10 - PRIVACY POLICY
All corporate and personal information we collect through the Services is subject to our Privacy Policy. By using the Services, you acknowledge that you have read and agreed to our privacy practices.
SECTION 11 - FEEDBACK
If you submit reviews, suggestions, or proposals (“Feedback”), you grant us a perpetual, worldwide, royalty-free license to use, reproduce, and publish such Feedback in any medium. We are under no obligation to pay compensation for Feedback.
SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS
Occasionally there may be typographical errors, inaccuracies, or omissions related to product descriptions, pricing, or availability. We reserve the right to correct any errors and to change or update information or cancel orders if any information is inaccurate at any time without prior notice.
SECTION 13 - PROHIBITED USES
You may access and use the Services for lawful purposes only. You may not use the Services: (a) for any unlawful purpose; (b) to violate any federal or international laws; (c) to infringe upon our intellectual property rights (including reselling our assets); (d) to submit false information; (e) to transmit viruses or malicious code. We reserve the right to terminate your account for violating any prohibited uses.
SECTION 14 - TERMINATION
We may terminate this agreement or your access to the Services in our sole discretion at any time without notice if you fail to comply with these Terms. The Intellectual Property and Liability sections shall survive termination.
SECTION 15 - DISCLAIMER OF WARRANTIES & COMMERCIAL RESULTS
The Services and all digital products are provided 'AS IS' and 'AS AVAILABLE'. We do not guarantee that your use of the Services will be uninterrupted or error-free. LOXIOM FZE MAKES NO FINANCIAL GUARANTEES. We do not warrant specific commercial results, sales targets, Return on Ad Spend (ROAS), or lead generation volumes resulting from the use of our templates or DFY services.
SECTION 16 - LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO CASE SHALL LOXIOM FZE, OUR DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA ARISING FROM YOUR USE OF ANY OF THE SERVICES OR DIGITAL PRODUCTS.
SECTION 17 - INDEMNIFICATION
You agree to indemnify, defend, and hold harmless LOXIOM FZE from any losses, damages, liabilities, or claims, including reasonable attorneys’ fees, arising out of your breach of these Terms of Service or your violation of any law or the rights of a third party (including unauthorized resale of our digital assets).
SECTION 18 - SEVERABILITY
If any provision of these Terms is determined to be unlawful or unenforceable, such provision shall be severed from these Terms without affecting the validity of the remaining provisions.
SECTION 19 - WAIVER; ENTIRE AGREEMENT
The failure of us to exercise or enforce any right shall not constitute a waiver. These Terms of Service and any policies posted by us constitute the entire agreement between you and us.
SECTION 20 - ASSIGNMENT
You may not delegate, transfer, or assign this Agreement or any of your rights (including licenses to our digital products) without our prior written consent.
SECTION 21 - GOVERNING LAW
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the Emirate of Sharjah and the applicable Federal laws of the United Arab Emirates.
SECTION 22 - HEADINGS
The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.
SECTION 23 - CHANGES TO TERMS OF SERVICE
We reserve the right to update, change, or replace any part of these Terms of Service by posting updates to our website. Your continued use of the Services following the posting of any changes constitutes acceptance of those changes.
